DLS INTERNET SERVICES TERMS OF SERVICE

1. Introduction

This document outlines the Terms of Service (“Terms”) for the use of services provided by DLS Internet Services (“DLS,” “we,” “our,” “us”). These services include, but are not limited to, Hosted PBX telephony services, VoIP solutions, internet access, data center hosting, network security, and related communication services (collectively referred to as the “Services”). By using any of our Services, you (“Customer,” “you”) agree to abide by these Terms. If you do not agree, you must refrain from using our Services.

2. Definitions

  • PBX: Private Branch Exchange for business phone communications.
  • Hosted PBX Service: A telephony system delivered over the internet or PSTN, providing traditional PBX functionality.
  • DID: Direct Inward Dialing numbers that route calls within the PBX.
  • PSTN: Public Switched Telephone Network, the traditional phone network used globally.

3. Services Provided

DLS provides communication, internet, and IT-related services, including:

  • Communication Services: VoIP, Hosted PBX, SIP trunking, and related telephony services.
  • Internet Access: High-speed internet access, including fiber and wireless options for businesses.
  • Data Center and Hosting Services: Virtual private servers, colocation, and hosting for business needs.
  • Network and Security Consulting: Design, maintenance, and security of network infrastructure.

These services will be provided based on the specific terms of the service agreement signed by each customer.

4. Payment Terms

  • Billing: All monthly recurring charges are billed in advance. Payment is due within 30 days of receiving an invoice. Any invoice unpaid for more than 60 days is subject to a 1.5% late fee.
  • Non-Recurring Charges: Setup fees and optional service modules, such as equipment installation and administration, may incur additional one-time charges.
  • Payment Method: Payments must be made within the agreed time frame, and late payments may result in interest charges or service suspension.

5. Service Activation and Term

  • Activation Date: Billing begins on the Service Activation Date, defined as the date when the features of the contracted service become available for use by the customer.
  • Term and Renewal: The term of the agreement is based on the length specified in the individual service agreement signed by the customer. Upon expiration, the agreement may renew automatically for successive terms according to the renewal terms outlined in the specific customer agreement, unless either party provides written notice of termination as stipulated in the agreement.

6. Service Limitations and Availability

  • Availability Guarantee: DLS commits to providing a 99.99% uptime guarantee for its services, subject to a rolling 30-day period.
  • Emergency Services (911 and E911): VoIP services provided by DLS may not function during internet outages or power failures, and DLS is not responsible for interruptions to 911 services. Customers should maintain alternative methods of emergency contact.
  • Maintenance Windows: Scheduled maintenance may occur between 12:00 AM and 4:00 AM CDT. Emergency maintenance may occur outside this window with reasonable efforts to notify the customer.

7. Equipment

  • Customer Equipment: Customers are responsible for ensuring their equipment is compatible with DLS services. Unsupported or end-of-life equipment may not function with the service, and customers may be required to upgrade at their own expense.
  • Equipment Purchase or Lease: Customers may purchase or lease equipment from DLS or a third party. All configuration and maintenance of customer-owned equipment are the customer’s responsibility.

8. Number Portability and Directory Assistance

  • Number Portability: Customers may port numbers to and from the service. DLS requires a Letter of Authorization (LOA) to port numbers, and fees may apply.
  • Directory Assistance: Directory Assistance (411) and operator-assisted dialing are available, and associated charges may apply.

9. Early Termination

Either party may terminate this agreement under the following conditions:

  • Upon 30 days’ notice due to a breach of these Terms.
  • Upon insolvency, bankruptcy, or assignment for the benefit of creditors by the other party.
  • Due to changes in law that impact the provision of services.
  • For reasons outlined in the specific service agreement, which may include early termination fees or penalties.

The specific service agreement signed by the customer will also govern termination and related conditions, such as early termination fees or obligations.

10. Customer Responsibilities

  • Security: Customers are responsible for implementing security measures to protect their network and equipment. DLS will not be held liable for security breaches.
  • Fraudulent Activity: Customers are responsible for monitoring their services for fraudulent activity. DLS will assist in detecting and alerting the customer but is not liable for fraudulent usage charges.

11. Liability

DLS’s liability is limited to the amount paid by the customer for the service in question during the six months preceding any claim. DLS will not be held liable for any indirect, incidental, or consequential damages, including loss of revenue, even if informed of such possibilities.

12. Force Majeure

DLS shall not be liable for delays or failures caused by circumstances beyond its reasonable control, such as natural disasters, acts of war, government actions, labor strikes, or failures of third-party suppliers.

13. Indemnification

Customers agree to indemnify and hold DLS harmless from any claims, damages, liabilities, or expenses arising out of their use of the services, including but not limited to violations of these Terms or third-party claims related to service disruptions or misuse.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Illinois. Any disputes will be subject to the jurisdiction of the courts in Illinois.
